Doqlo Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Doqlo’s websites, applications, and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- “Doqlo”, “we”, “us”, or “our” means the party providing the Service under these Terms through doqlo.com and related Doqlo websites, applications, and services.
- “You” means the person or entity using the Service.
- “Content” means materials you provide to the Service, including PDFs and overlays (signatures, dates, text) you apply.
- “Export” means generating a final document output through the Service.
- “Subscription” means a paid plan that provides access to additional features and/or usage limits.
- “Third-Party Services” means services we do not control that may be used with the Service (for example, authentication or payment providers).
2. Service Description
Doqlo is a productivity tool for PDF documents and related workflows. The Service may include features that let you create, edit, sign, annotate, fill, automate, and export PDF documents, including generating documents from templates and structured data in bulk.
Doqlo is not a document storage service, legal verification platform, notarization service, or a certified electronic signature provider.
2.1 Privacy Policy
Our Privacy Policy explains how we handle information and documents. It is incorporated by reference into these Terms. If there is a conflict between these Terms and the Privacy Policy regarding data handling, the Privacy Policy controls.
3. Eligibility
You must be able to form a binding contract in your jurisdiction to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” includes that organization.
4. Accounts and Security
You are responsible for:
- Maintaining the confidentiality of your account and access credentials
- All activity that occurs under your account
- Keeping your billing details accurate and up to date
We may suspend access if we reasonably believe your account has been compromised or is being used abusively.
5. Your Content and Documents
5.1 Ownership
As between you and Doqlo, you retain your rights in your Content.
5.2 Your Responsibilities and Permissions
You represent and warrant that:
- You have all rights and permissions necessary to provide Content to the Service and to apply overlays/signatures to it.
- Your use of the Service and Content complies with applicable laws and does not infringe the rights of others.
- You will not use the Service to submit or process content that you do not have permission to handle (for example, documents containing third-party personal information without appropriate authorization).
5.3 Processing for Export
To provide the Service, including export generation, you grant Doqlo permission to process your Content as necessary to operate the Service. This may include temporary transmission to our servers, short-lived processing and delivery buffers, and, where implemented, short-lived temporary retrieval artifacts used solely to make a requested download available.
5.4 No Document Storage; No Recovery
Doqlo is not a document repository. We do not provide long-term storage or archiving of your PDFs or exported outputs. Where implemented, generated export files may be held temporarily for download retrieval, but those temporary retrieval artifacts are access-limited, short-lived, and automatically removed under our retention practices. Because we do not maintain user documents as a long-term repository, we generally cannot retrieve or restore them on your behalf after removal.
5.5 Review and Suitability
You are responsible for reviewing exported documents for accuracy and completeness (including placement, spelling, dates, and any signature/overlay placement) before relying on them.
6. License and Intellectual Property
6.1 Doqlo IP
The Service, including its software, design, user interface, branding, and trademarks, is owned by Doqlo and its licensors and is protected by intellectual property laws.
6.2 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal and lawful purposes. This right is limited to use of the hosted Service only. No license or ownership rights are granted in Doqlo source code, binaries, non-public APIs, or internal technical materials. All rights not expressly granted are reserved by Doqlo and its licensors.
6.3 Restrictions
You may not:
- Copy, reproduce, distribute, publicly display, or create derivative works of the Service’s user interface, icons, graphics, templates, workflows, or other materials, except as expressly permitted by these Terms
- Reverse engineer or attempt to extract source code except where prohibited by law
- Copy, modify, distribute, sublicense, sell, lease, disclose, or otherwise make available any Doqlo source code or software, except to the limited extent required by mandatory terms applicable to third-party components included with the Service
- Circumvent usage limits, paywalls, or security controls
- Use automated means (bots/scripts) to access or use the Service in a manner that materially impacts performance or availability
6.4 Feedback
If you provide suggestions or feedback, you grant us a non-exclusive, worldwide, royalty-free right to use and incorporate it into the Service without obligation to you.
7. Acceptable Use
You agree not to use the Service to:
- Violate laws or regulations
- Upload or process illegal content
- Infringe intellectual property rights
- Distribute malware or attempt unauthorized access
- Disrupt the Service, including by abusive traffic or scraping
- Misrepresent identity or engage in fraud
We may limit, suspend, or terminate your access for violations.
8. Subscriptions, Billing, and Taxes
8.1 Billing Provider
Subscriptions are billed through Stripe or our authorized payment processor.
Billing descriptor: Charges may appear on your statement as “doqlo.com” (or a similar descriptor).
8.2 Renewals
Unless canceled, subscriptions renew automatically at the end of each billing cycle.
8.3 Taxes
Taxes may apply depending on your location. You are responsible for any applicable taxes unless stated otherwise. We may collect taxes where required.
8.4 Billing Issues and Disputes
If you believe you were billed in error, contact Support promptly. You agree not to initiate a chargeback without first attempting to resolve the issue with us, except where applicable law provides otherwise.
8.5 Changes to Fees
We may change Subscription fees, plan names, and plan inclusions from time to time. If we increase the fee for your current Subscription, we will provide notice in advance (for example, via the Service or by email). The new fee will apply starting with your next renewal unless we state otherwise. If you do not agree to the change, you must cancel your Subscription before the renewal date. Continued use after the change takes effect constitutes acceptance of the new fee.
8.6 Pricing Errors
If a Subscription is listed at an incorrect price due to an error, we may correct the price. If the correction affects an upcoming renewal, we will notify you in advance, and you may cancel before renewal.
9. Trials, Plan Limits, and Changes
9.1 Trials and Free Usage
We may offer free usage tiers or trials with limits. Free tiers, trials, and promotional offers may be modified or ended at any time.
9.2 Plan Limits
Your plan may have usage limits (for example, exports per billing period). We may enforce limits through technical controls. Limits and features may vary by plan and may change over time.
9.3 Plan Changes
You may upgrade or downgrade your plan if available. Changes may take effect immediately or at the next billing cycle depending on plan rules and the payment provider’s capabilities (including proration where applicable).
10. Cancellation and Refunds
10.1 Cancellation
You can cancel your Subscription at any time through your account settings or billing portal. Cancellation stops future renewals. Unless otherwise stated, you will retain access to paid features until the end of the current billing period.
10.2 Refunds
Refunds are not guaranteed except where required by law. If you believe you were billed in error, submit a request through the Support page.
11. Third-Party Services
The Service may integrate with Third-Party Services (for example, Google for authentication and Stripe for payments). Your use of Third-Party Services is governed by their terms and policies, and we are not responsible for Third-Party Services.
12. Service Availability and Changes
We may modify, suspend, or discontinue all or part of the Service at any time (for example, to improve features, comply with law, address security issues, or perform maintenance). We do not guarantee that the Service will be uninterrupted or error-free.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOQLO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DOQLO DOES NOT PROVIDE LEGAL ADVICE AND DOES NOT GUARANTEE THAT DOCUMENTS SIGNED USING THE SERVICE ARE LEGALLY BINDING IN ALL JURISDICTIONS OR SUITABLE FOR ANY PARTICULAR REGULATORY REQUIREMENT. YOU ARE RESPONSIBLE FOR DETERMINING WHETHER THE SERVICE IS APPROPRIATE FOR YOUR USE CASE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOQLO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT WILL DOQLO’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNTS YOU PAID TO DOQLO FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR CAD $100 IF YOU HAVE NOT PAID ANY AMOUNTS, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Doqlo and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from:
- Your Content
- Your violation of these Terms
- Your misuse of the Service
16. Termination
We may suspend or terminate your access to the Service if you violate these Terms or if continued operation becomes impractical or unlawful. You may stop using the Service at any time.
Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
17. Governing Law and Venue
These Terms are governed by the laws of Ontario, Canada, excluding conflict-of-law rules. You agree that any dispute will be brought exclusively in the courts located in Ontario, Canada, unless applicable law requires otherwise.
18. Changes to the Terms
We may update these Terms from time to time. The “Last updated” date indicates the latest revision.
If we make changes, we will post the updated Terms on our website. If a change is material, we may also provide additional notice (for example, through the Service or by email if associated with your account).
Unless otherwise stated, updated Terms become effective when posted. Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel any Subscription.
19. Notices and Contact
Support requests may be submitted via the Support page on our website. We may send notices to you electronically (for example, via the Service or to an email address associated with your account).
20. Miscellaneous
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Entire Agreement. These Terms (and the Privacy Policy) are the entire agreement between you and Doqlo regarding the Service.
